The Sweepstakes are sponsored by Euclid Labs, Inc. (dba Magic Eden), 1968 S. Coast Highway Suite 4240 Laguna Beach, CA 92651(the “Sponsor”). The Sponsor in its sole and absolute discretion may modify, cancel, or postpone the Sweepstakes. Limited edition collectibles provided by Dogwifhat, Michi and Echelon PRIME Foundation (each an “Artist” and collectively, the “Artists”). The Sponsor can be contacted by email at [email protected].

NO PURCHASE IS REQUIRED TO PARTICIPATE IN THE SWEEPSTAKES AND MAKING SUCH A PURCHASE WILL NOT INCREASE OR AFFECT A PARTICIPANT’S CHANCES OF WINNING A PRIZE IN THE SWEEPSTAKES. FOR MORE INFORMATION ON HOW TO ENTER WITHOUT PURCHASE, PLEASE REFER TO THE RULES BELOW.
1. Sweepstakes Period
Eligible entries will be accepted from August 21, 2024, 12:00:00AM EST through September 1, 2024, 11:59:59PM EST (the “Sweepstakes Period”).
2. Eligibility and Participation
(a) Eligibility. The Sweepstakes is open to anyone who is 18 years of age and older or are the age of majority in their respective states/jurisdictions of permanent residence as of September 1, 2024. By submitting an entry into this Sweepstakes, you acknowledge and agree that you do not reside in and/or are not located in one of the countries/regions that are subject to U.S. export restrictions and sanctions AND/OR that are embargoed by the U.S. AND/OR that are designated by the U.S. as “terrorist supporting nations”, or countries/regions where Sweepstakes are prohibited by law. The prize is personal to the selected winner and is not assignable to any other person or entity. Employees, officers and directors and their immediate families (spouses, parents, siblings and children and those living in the same households) of Sponsor, Artist and their affiliates, subsidiaries, consultants, contractors, legal, advertising, public relations, promotional, fulfillment and marketing agencies, and web site providers/webmasters are not eligible to participate. The Sweepstakes is void in NY, FL, RI, Puerto Rico, the Virgin Islands, U.S. Military installations located in a foreign country and Quebec. Subject to the provisions set-forth in these Official Rules, all Canadian participants are considered potential winners of a Prize in the Sweepstakes. To be declared a Winner of the applicable Prize, Canadian potential winners must first correctly answer a mathematical skill-testing question (the “Skill Testing Question”) without any assistance of any kind, whether electronic, mechanical or other. The Skill Testing Question will be provided to potential winners of applicable Prizes.
b) How to Enter. NO PURCHASE NECESSARY TO ENTER OR WIN. There are two ways to gain official entry to the Sweepstakes:
i. PAID ENTRY: Eligible persons will receive one (1) official entry into the Sweepstakes for each purchase of a limited edition artwork (a “LEA”) courtesy of the Artists. The LEA for each Artist can be purchased at the following links: Dogwifhat, Michi and Echelon PRIME . In additional to the purchase of an LEA, an eligible person may obtain additional entries by either holding the corresponding Artists’ fungible token and/ or by using certain non-custodial wallets to purchase. Please see the following table below for examples of the total number of entries an eligible person can obtain:
ii. NO PURCHASE NECESSARY ALTERNATIVE METHOD OF ENTRY: To receive one (1) official entry without purchasing a LEA (an “AMO Entry” or “AMO Entries”) during the Sweepstakes Period, handwrite “AMO ENTRY for ME Mintfest Sweepstakes, your first and last name, street address, city, state, zip code, daytime telephone number (including area code), email address where you can be contracted and date of birth on a plain 3” x 5” piece of paper, and mail entry in a properly stamped envelope to Euclid Labs Inc.1968 S. Coast Hwy #4240 Laguna Beach CA 92651. All mail-in entries must be received by September 1, 2024. You will receive one (1) official entry per completed AMO Entry received by September 1, 2024. Photocopied, computer-generated facsimiles, mechanically reproduced, automated, mass mail-in entries will be void. Mail-in entries become the property of the Sponsor and will not be acknowledged or returned.
3. Prizes, Draw and Odds of Winning
(a) Prizes. There are a total of two hundred and fifty (250) Prizes available to be won in the Sweepstakes. A brief description of the available Prizes and the approximate retail value of the Prizes are outlined in the chart below. In the event that the Prize is unavailable, the Sweepstakes winner will be provided with the ARV of that Prize by a means of distribution similar to the original Prize.
(b) Draw and Odds of Winning. The Prize winner will be selected in a random drawing from all eligible entries received by the Sponsors. The draw will be held at 9am/12pm ET on September 2, 2024. Odds of winning depend on the number of eligible entries received for the Sweepstakes.
4. Taxes and Financial Information
All applicable local, state, and federal taxes, if any, will be paid by the winner. These may include income and/or sales taxes based on the retail value of the prize. Winner agrees to provide such financial information to Magic Eden to complete all necessary tax forms in order to comply with federal, state and local tax requirements.
5. Release and Limitations of Liability
Participants and Winner agree to release, discharge, indemnify and hold harmless the Sponsor and Artist as applicable and each of their respective officers, directors, employees, representatives and agents (collectively, the “Released Parties”) from and against any claims made by any Participant, Sweepstakes winner, or any other third parties, related in any way to the operation of this Sweepstakes as well as any other claims, damages or liability due to any injuries, damages or losses to any person or property of any kind resulting in whole or in part, directly or indirectly, from receipt, acceptance, possession, misuse or use of a Prize or participation in any promotion related activity or participation in this Sweepstakes.
6. General Terms
This promotion is governed by U.S. law, subject to all federal, state, and local laws. The decisions of Sponsor are final with respect to all aspects of the promotion. The Sponsor reserves the right to verify eligibility qualifications of any winner. Except where prohibited, all disputes arising out of or connected with the Sweepstakes will be resolved on an individual basis by binding arbitration subject to the rules of the American Arbitration Association. The foregoing shall not limit any party's right to seek injunctive or equitable relief in any court with jurisdiction over the parties or to bring qualifying claims in small claims court. If an in-person hearing is required then it will take place in San Francisco, CA; provided, however, the parties may mutually agree on an alternative location. The arbitrator's decision and award will be final and binding and judgment on the award may be entered in any court with jurisdiction. The invalidity or unenforceability of any portion or provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If there is a discrepancy between these Official Rules and any other promotion materials, the Official Rules will control and govern the Sweepstakes. Sponsor s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. It is each Participant’s responsibility to ensure that they have complied in full with all of the conditions and requirements contained in these Official Rules. The Sponsor reserves the right in their sole discretion to disqualify any Participant that is found to be tampering or interfering in any way with the operation or conduct of the Sweepstakes, to be acting in violation of these Official Rules. In the event that, in the Sponsor’s sole opinion, the Sponsor is impeded or prevented from continuing with the Sweepstakes as planned or intended by any event beyond its control, regardless of when such event commenced, the Sponsor shall have the right to modify, suspend, extend or terminate the Sweepstakes.
7. Privacy
Except as otherwise contemplated in these Official Rules, information collected by the Sponsor in connection with the Sweepstakes will be used by the Sponsor in accordance with its online Privacy Policies (available here).
